END USER LICENSE AGREEMENT
THE SOFTWARE PROGRAM(S) (“PROGRAMS”) ARE LICENSED ONLY TO THE END-USER (“YOU”), AND MAY BE USED BY YOU ONLY IN ACCORDANCE WITH THE LICENSE TERMS DESCRIBED BELOW. YOUR USE OF THE PROGRAMS SHALL BE CONCLUSIVELY DEEMED TO CONSTITUTE YOUR ACCEPTANCE OF THE TERMS OF THIS LICENSE. LICENSE A. Panasonic Connect Co., Ltd. hereby grants you a non-transferable and non-exclusive right and license to use the Programs without any sublicense in accordance with the terms and conditions stated in this END USER LICENSE AGREEMENT (“Agreement”). You acknowledge that you are receiving only a LIMITED LICENSE TO USE the Programs and related documentation and that you shall obtain no title, ownership nor any other rights in or to the Programs and related documentation nor in or to the algorithms, concepts, designs and ideas represented by or incorporated in the Programs and related documentation, all of which title, ownership and rights shall remain with Panasonic Connect Co., Ltd. or its suppliers. B. You and your employees and agents are required to protect the confidentiality of the Programs. You may not distribute or otherwise make the Programs or related documentation available to any third party, by time-sharing or otherwise, without the prior written consent of Panasonic Connect Co., Ltd. C. You may not remove any copyright, trademark or other notice or product identification from the Programs and you must reproduce and include any such notice or product identification on any copy of any Program. D. You may not reverse assemble, reverse compile, or mechanically or electronically trace the Programs, or any copy thereof, in whole or in part. E. You may not use, copy, reproduce, modify, alter, transfer the Programs and related documentation any copy or the possession thereof, in whole or in part, except as expressly provided in this Agreement. F. THE PROGRAMS AND RELATED DOCUMENTATION ARE PROVIDED "AS IS" WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND INCLUDING WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE. PANASONIC CONNECT CO., LTD. DOES NOT WARRANT OR ASSUME RESPONSIBILITY FOR THE ACCURACY OR COMPLETENESS OF ANY INFORMATION, TEXT, GRAPHICS, LINKS OR OTHER ITEMS WITHIN OR BEING PROVIDED WITH THE PROGRAMS AND RELATED DOCUMENTATION. G. IN NO EVENT WILL PANASONIC CONNECT CO., LTD. OR ITS AFFILIATES, LICENSORS OR SUPPLIERS (INCLUDING THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS) BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, LOST PROFITS, BUSINESS INTERRUPTION, OR LOST DATA) ARISING OUT OF OR IN RELATION TO THIS AGREEMENT, EVEN IF PANASONIC CONNECT CO., LTD. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS PROHIBIT EXCLUSION OR LIMITATION OF LIABILITY FOR IMPLIED WARRANTIES OR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY IN PART NOT APPLY TO YOU. YOU MAY ALSO HAVE OTHER LEGAL RIGHTS THAT VARY FROM JURISDICTION TO JURISDICTION. THE LIMITED REMEDIES, WARRANTY DISCLAIMER AND LIMITED LIABILITY ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN PANASONIC CONNECT CO., LTD. AND YOU. YOU ACKNOWLEDGE PANASONIC CONNECT CO., LTD. WOULD BE UNABLE TO PROVIDE THE PROGRAMS AND RELATED DOCUMENTATION WITHOUT SUCH LIMITATIONS, AND THAT ANY USE OF THE PROGRAMS AND RELATED DOCUMENTATION IS AT YOUR OWN RISK. H. YOU AGREE THAT THE PROGRAMS OR RELATED DOCUMENTATION AS SET FORTH IN THIS AGREEMENT MAY BE MODIFIED, REVISED, OR UPDATED (COLLECTIVELY "UPDATES"). UPDATES MAY RESULT IN AUTOMATIC CHANGES TO THE USER INTERFACE (“UI”) SPECIFICATION AND/OR THE UI SETTINGS OF THE PROGRAM (COLLECTIVELY "UI CHANGES"). YOU ACKNOWLEDGE AND UNDERSTAND THAT YOU MAY NOT RECEIVE ADVANCE NOTICE AS TO UPDATES OR UI CHANGES. TERM You may terminate this license at any time by destroying, at your expense, the Programs and related documentation together with all copies thereof in any form. This license will also terminate effective immediately upon occurrence of the conditions thereof set forth elsewhere in this Agreement, or if you fail to comply with any term or condition contained herein. Upon any such termination, you agree to destroy, at your expense, the Programs and related documentation together with all copies thereof in any form. YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. YOU FURTHER AGREE THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN US, WHICH SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS BETWEEN US, RELATING TO THE SUBJECT MATTER OF THIS AGREEMENT. 2406PR01 |
